Homology Medicines, Inc. is seeking an experienced and talented Intellectual Property (IP) Attorney to join our team. This candidate will lead and manage Homology’s IP strategy, providing strategic input on key opportunities and risks in all areas of IP for the company. Primary responsibilities include, but are not limited to, defining and building Homology’s IP strategy, building and maximizing the value of the IP portfolio, filing and prosecuting patents and trademarks, IP due diligence, negotiations and settlements, administrative proceedings, litigation including enforcement of IP and defense against infringement cases, and liaising with scientists and project teams to develop strategic patenting strategies to continue to build out Homology’s IP estate while maximizing the value and utility of IP assets. The successful candidate will be a leader and business partner who can provide guidance and act as an advisor on key legal and IP matters as they relate to Homology’s operations. He/she should be a strategic business oriented team player with the ability to provide counsel, solutions and strategies to all levels of management at Homology on the operational and strategic impacts of IP and provide transactional support on other legal matters including contracts and agreements.

Essential Functions and Duties

  • Collaborates with research and development teams to prepare, file and prosecute patent applications
  • Collaborates with business development team on transactional deals, drafting, reviewing and constructing term sheets and definitive license agreements
  • Serves as key point of contact for external parties (BD partners and/or investors) conducting due diligence on Homology IP
  • Serves as key liaison between Homology and outside legal counsel
  • Drafts and negotiates commercial contracts such as CDA’s, MTA’s, service agreements, licensing agreements, manufacturing and distribution agreements
  • Provides legal strategy, developing and implementing policies and training that ensure company’s compliance with intellectual property laws and management of prosecution and litigation related risks
  • Provides legal guidance for issues that arise in connection with prospective and ongoing commercial engagements, including IP consultation, contract interpretation and advising on contractual and IP implications.
  • Demonstrates leadership ability to work and collaborate with diverse functions within the company
  • Performs freedom to operate / patentability analyses and opinion work
  • Reviews all IP issues related to publications, abstracts or other public presentations by Homology employees
  • Develops and implements policies and training required to educate employees on best practices for complying with IP laws and managing IP-related business risks

Skills and Experience

  • J.D. and admission to the Patent Bar & to the Massachusetts Bar
  • Advanced degree in the life sciences, PhD preferred
  • Biopharmaceutical patent experience, preferably at least 7 years post law school
  • Prior experience contributing to business development activities such as in-licensing, out-licensing, mergers and acquisitions and partnering agreements
  • Experience in private practice and as in-house IP counsel in a biopharmaceutical company setting
  • Appreciates the legal, scientific and business aspects of intellectual property and has a proven track record of interacting with both scientific and business leaders within an organization
  • A strategic thinker who sees the big picture and strategic needs of the business first while ensuring that the organization is fully compliant with the law
  • Capable of recognizing, assessing and responding to urgent matters with timely, practical and clear solutions
  • An innovative thinker able to manage and prioritize multiple matters simultaneously and independently
  • A collaborative team player with exceptional interpersonal skills, an excellent work ethic and sound judgment
  • Ability to communicate complicated IP issues to scientists, management and business leaders within the company while successfully managing outside counsel
